Supply of Service Agreement

This Service Agreement (“Agreement”) sets out the terms and conditions under which Promoverse Services Limited (“Service Provider”) will provide marketing services (“Services”) to the client (“Client”). This Agreement, together with any Service Level Agreements (SLAs) or Statements of Work (SOW) agreed between the parties, forms the entire understanding of the services to be provided.

1. Scope of Services

The Service Provider agrees to deliver the Services as described in the applicable SLA or SOW. The specific scope, deliverables, timelines, and fees will be detailed in those documents.

2. Term and Termination

This Agreement shall commence on the date of acceptance by the Client and shall continue until terminated by either party with written notice. Termination provisions, including any notice periods and obligations upon termination, will be specified in the SLA or SOW.

3. Client Responsibilities

The Client agrees to provide all necessary information, materials, and cooperation required for the Service Provider to perform the Services effectively and on schedule.

4. Fees and Payment

Fees for the Services will be set out in the SLA or SOW. Payment terms, including invoicing and due dates, will also be specified therein. Late payments may be subject to interest or suspension of services.

5. Confidentiality

Both parties agree to keep confidential all information disclosed during the course of this Agreement that is designated as confidential or that ought reasonably to be regarded as confidential.

6. Intellectual Property

Unless otherwise agreed, all intellectual property rights arising from the provision of the Services shall be owned by the Client upon full payment. The Service Provider retains the right to use general knowledge, skills, and experience gained during the engagement.

7. Limitation of Liability

To the fullest extent permitted by law, the Service Provider's liability under this Agreement shall be limited to direct damages up to the total fees paid by the Client for the Services. Neither party shall be liable for indirect, incidental, or consequential damages.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong.

9. Amendments

Any amendments or variations to this Agreement must be made in writing and signed by both parties.

10. Entire Agreement

This Agreement, together with any SLAs or SOWs, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior agreements or understandings.
